Company Registration in Cyprus
The beneficial tax regime of Cyprus combined with the wide network of double – taxation treaties, makes Cyprus an ideal location for investors to set up their business.
You will be required to submit three alternative names of your preference. The availability of these names will be checked with the Cyprus Registrar of Companies.
You will be required to provide a short description of the Company’s activities. Our experts will use this information to draft a comprehensive Memorandum and Articles of Association for the Company.
The Cyprus Law requires a Cyprus Company to have its Registered Address in Cyprus. We shall provide you with this address.
The Cyprus law also requires that you appoint a Secretary to maintain the statutory book. We shall appoint a Secretary for your Company from our firm.
As per law requirements, a Cyprus Company must have at least one Director. Such an individual can be foreign or local. We shall provide nominee local directors to ensure the control and management of the Company in Cyprus, and nominee foreign directors to ensure the control and management of the Company abroad.
We will require you to provide the following information for each Director and bank account signatories you appoint:
- Passport copy
- Residential address
- Occupation
- Nationality
- Bank reference letter for each legal entity and individual
- Utility bill of less than 3 months to confirm the current address of client, including gas, water, telephone bill, or electricity bill.
You will be required to provide at least one Shareholder. You can have a nominee or trustee hold the shares to ensure anonymity. We can provide you with a nominee or trustee if you prefer one.
We will require you to provide the following information for each Shareholder and bank account signatories you appoint:
- Passport copy
- Residential address
- Occupation
- Nationality
- Bank reference letter for each legal entity and individual
- Utility bill of less than 3 months to confirm the current address of client, including gas, water, telephone bill, or electricity bill.
Once the Company’s Name has been approved, the Company Incorporation procedure can be completed in 5 to 8 working days. After successful incorporation, you will receive the Certified Memorandum and Articles of Association in the Greek language, and the English copy translated by us.
You will also receive the following Company’s Certificates in English or Greek:
- Certificate of Shareholders
- Certificate of Incorporation
- Certificate of registered office address
- Certificate of Directors and Secretary
- Share Certificate(s)
- A Company Stamp
- Share transfer documents and registration letters signed by nominee shareholder(s) and director(s)
- Declaration of trust (where applicable)
- Indemnity Letters signed by beneficial owners, which indemnify the nominees of their actions
The Income Tax Office must receive Audited Financial Statements annually from the Company. The Company must contract an authorised auditor to carry out the audit. The Company must also file an annual return, alongside a Greek Translation of the Financial Statements with the Registrar of Companies, containing the details of the shareholders, directors, and the registered office address.
